Beacon End User License Agreement (EULA)

Beacon End User License Agreement

This End User License Agreement (“Agreement”) governs your access to and use of the SIONYX, LLC (“SIONYX”) Beacon mobile application (“Beacon”) and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree to this Agreement, do not use the Service.


1. License and Access
Subject to your compliance with this Agreement, SIONYX grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your personal use in connection with Beacon.

The Service may be accessed through https://sionyx-cloud.web.app/ or through a mobile application made available by SIONYX or its authorized providers.


2. Permitted Use
You may use the Service to obtain general information and troubleshooting assistance concerning Beacon. You may not:

  1. use the Service for any unlawful purpose;

  2. interfere with or disrupt the Service;

  3. attempt to gain unauthorized access to the Service or its underlying systems;

  4. copy, modify, distribute, sell, sublicense, or commercially exploit the Service or its content, except as expressly permitted by SIONYX; or

  5. use the Service to develop or train a competing product or service.

 

3. Troubleshooting Information; No Reliance
The Service is intended to supplement and facilitate your use of Beacon, including by providing product-related functionality, information, and troubleshooting assistance. Information and responses provided through the Service may be incomplete, inaccurate, or inappropriate for a particular situation and should not be relied upon as a substitute for the product documentation, professional advice, or your own judgment.

Do not rely on the Service for emergency, safety-critical, medical, or other situations where an incorrect or delayed response could result in injury, death, or property damage. Follow all applicable product warnings, instructions, and safety information.

 

4. Artificial Intelligence
The Service may use artificial intelligence and third-party technologies to generate responses. Responses are generated automatically and may not always be accurate, complete, or current. SIONYX does not guarantee that any response will resolve a particular issue or accurately identify the cause of a problem.

 

5. Ownership
The Service, including its software, technology, content, features, and functionality, is owned by SIONYX or its licensors and is protected by applicable intellectual property laws. Except for the limited license expressly granted under this Agreement, no rights in or to the Service are granted to you.


6. Privacy
Your use of the Service may involve the collection and processing of information as described in the SIONYX Beacon Privacy Policy, which is incorporated into this Agreement by reference.


7. Third-Party Services
The Service may rely on or integrate with third-party software, platforms, or services. SIONYX is not responsible for the availability, performance, or content of third-party services, except as otherwise required by applicable law.


8. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. SIONYX DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SIONYX DOES NOT WARRANT THAT THE SERVICE WILL BE AVAILABLE AT ALL TIMES, OPERATE WITHOUT INTERRUPTION OR ERROR, OR PROVIDE ACCURATE, COMPLETE, OR RELIABLE INFORMATION.


9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIONYX AND ITS AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIONYX'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID, IF ANY, TO ACCESS THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Nothing in this Agreement limits or excludes liability that cannot legally be limited or excluded under applicable law.


10. Termination
SIONYX may suspend or terminate your access to the Service at any time, with or without notice, including if SIONYX reasonably believes that you have violated this Agreement. Upon termination, your right to use the Service will immediately cease.


11. Changes to the Service or Agreement
SIONYX may modify, suspend, or discontinue the Service, in whole or in part, at any time. SIONYX may also update this Agreement from time to time. Your continued use of the Service after an updated Agreement is posted constitutes your acceptance of the updated Agreement.


12. Governing Law
This Agreement will be governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles, except to the extent otherwise required by applicable law.
